What Synthesis Provides

Synthesis is a precision wellness platform that:

• Analyzes your biomarker data to provide personalized health optimization recommendations
• Uses artificial intelligence to interpret laboratory results, wearable data, and lifestyle information
• Offers evidence-based suggestions for nutrition, supplementation, and lifestyle modifications
• Provides conversational AI health coordination based on your unique biological profile
• Creates dynamic, personalized wellness protocols that evolve with your data

Consumer Wellness Platform

Synthesis operates as a consumer wellness and lifestyle optimization platform, similar to fitness trackers, nutrition apps, and wellness coaches. We focus on helping you understand your biological data for optimization purposes, not medical diagnosis or treatment.

What Synthesis Is Not

Important: Synthesis is a consumer wellness platform, not a medical device, healthcare provider, or medical service. We do not:

• Diagnose, treat, cure, or prevent any disease or medical condition
• Provide medical advice, medical opinions, or medical recommendations
• Replace the need for professional medical care or consultation with licensed healthcare providers
• Offer emergency medical services or urgent health interventions
• Operate as a covered entity under healthcare regulations

Our platform is designed for wellness optimization and educational purposes, similar to fitness trackers, nutrition apps, and other consumer wellness tools.

User Eligibility and Account Requirements

User Data and Content

Your Biomarker Data and Health Information

You retain ownership of your biomarker data, health information, and other personal content you provide to Synthesis ("User Data"). By using our Service, you grant us a limited license to use your User Data to:

• Provide personalized health optimization recommendations and insights
• Power our AI Health Coordinator to answer your questions and provide guidance
• Improve our algorithms, recommendation accuracy, and Service quality
• Generate anonymized, aggregated research data that cannot identify you
• Ensure platform security and functionality

User Content and Communications

The Service may allow you to submit content such as questions to our AI Health Coordinator, journal entries, goal tracking, and community posts ("User Content"). You retain ownership of your User Content, but grant us a license to use it as necessary to provide our Service.

By submitting User Content, you grant Synthesis a worldwide, non-exclusive, royalty-free license to:

• Host, display, and make your User Content accessible through the Service
• Use your conversations with our AI Health Coordinator to improve our AI systems and provide better recommendations to all users
• Share your User Content according to your privacy settings and account preferences
• Maintain copies for backup, security, maintenance, or as required by law

AI-Generated Content

Content generated by our AI Health Coordinator based on your data (such as meal plans, workout routines, and recommendations) is provided as part of our Service. You may use this content for your personal wellness journey.

Your Responsibilities

You are solely responsible for the accuracy of health data you provide and any User Content you submit. You agree that you will not:

• Provide false, misleading, or inaccurate health information
• Submit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise inappropriate
• Impersonate another person or misrepresent your identity
• Share another person's private health information without permission
• Use the Service to provide health advice to third parties
• Attempt to extract or reverse-engineer our algorithms or AI models

Subscription Terms and Billing

Subscription Plans

Synthesis offers multiple subscription tiers:

• Starter ($99/month): Basic biomarker integration, AI coaching, personalized meal and workout plans
• Optimizer ($149/month): Advanced analytics, supplement protocols, continuous optimization
• Elite ($199/month): Comprehensive biomarker tracking, priority support, early access features

Prices are in US dollars and subject to change with notice.

Recurring Billing and Auto-Renewal

Your subscription will automatically renew unless you cancel before the renewal date. By choosing a recurring payment plan, you acknowledge that:

• There is an initial payment followed by recurring charges according to your subscription terms
• You authorize us to charge your payment method for subscription fees at the beginning of each billing period
• Billing continues until you cancel your subscription or we terminate your account
• You reaffirm authorization for charges by continuing to use the Service

Payment and Billing

• Subscriptions are billed monthly in advance
• Payment is due immediately upon subscription activation and on each renewal date
• We accept major credit cards and ACH payments through our payment processor Stripe
• You must provide current, complete, and accurate payment information
• You must promptly update payment information if it changes
• You must notify us if your payment method is cancelled or if you suspect unauthorized use

Failed Payments

If payment fails:

• We'll attempt to process payment again within 24-48 hours
• After 3 days, your account becomes inactive (read-only access to historical data)
• After 30 days of non-payment, we may delete your account
• Upon successful payment, full functionality is immediately restored

Cancellation and Termination

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period, and you may continue using the Service until that time.

Refund Policy

• First 30 Days: Full refund if you're unsatisfied and cancel within 30 days of your first payment
• Monthly Subscriptions: No prorated refunds for partial months after the initial 30 days
• Service Issues: Refunds may be provided for extended service outages at our discretion

Fee Changes

We may change subscription fees with at least 30 days' notice via email. Fee changes apply to your next billing cycle after the notice period. If you don't accept the price change, you may cancel before it takes effect.

Data and Content

Your Health Data

You retain ownership of your personal health information, biomarker data, and other content you provide. By using our Service, you grant us a limited license to use this data to:

• Provide personalized recommendations and insights
• Improve our AI algorithms and service quality
• Generate anonymized, aggregated research data
• Ensure platform security and functionality

Data Accuracy

You are responsible for the accuracy of health data you provide. We rely on your input to generate appropriate recommendations, and inaccurate data may result in unsuitable suggestions.

Content License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Service for your personal, non-commercial use.

Proprietary Rights

The Service, including all software, algorithms, AI models, recommendations, and content (excluding your personal data), is owned by Synthesis and protected by intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works without our written permission
• Reverse engineer or attempt to extract our algorithms
• Use our Service to compete with us or build a similar service
• Resell or commercialize any aspect of our Service

Acceptable Use

Permitted Uses

You may use our Service only for:

• Personal health and wellness optimization
• Legitimate educational purposes related to your health
• Authorized sharing with your healthcare providers

Prohibited Uses

You may not:

• Use the Service for any unlawful purpose or in violation of these Terms
• Provide false, misleading, or inaccurate health information
• Attempt to reverse engineer, decompile, or hack our algorithms or systems
• Share your account credentials with others
• Use our Service to provide health advice to third parties
• Create multiple accounts or automate interactions with our Service
• Scrape, mine, or systematically extract data from our platform
• Upload malicious code or attempt to compromise our security
• Interfere with or disrupt the Service or its servers
• Violate any applicable laws or regulations

Medical Emergencies

Do not use our Service for medical emergencies. If you are experiencing a medical emergency, call emergency services immediately (911 in the US).

AI Health Coordinator and Limitations

AI Health Coordinator Feature

Synthesis provides an AI Health Coordinator that analyzes your biomarker data to offer personalized wellness recommendations. This feature uses advanced artificial intelligence to interpret your laboratory results, wearable data, and health information.

Important Understanding:

• The Health Coordinator does not replace your healthcare professional
• The Health Coordinator can make mistakes and has limitations
• Always verify important health decisions with qualified professionals
• The Health Coordinator provides wellness insights, not medical diagnosis

How the AI Health Coordinator Works

The Health Coordinator uses data from your biomarker uploads and wellness profile, including:

• Biomarker results and laboratory values
• Wearable device metrics and patterns
• Profile information and wellness goals
• Your conversations and interaction history

Information you share is stored as conversation history. You can view and delete this history anytime through your account settings.

Prohibited AI Uses

You may not:

• Attempt to "jailbreak" or manipulate the AI to provide medical diagnoses
• Use the AI to generate recommendations for others
• Input false data to test or exploit the system
• Share AI conversations publicly without our permission

AI-Generated Content and Limitations

Our Service uses artificial intelligence to analyze your data and generate recommendations. You understand that:

• AI systems may produce errors or unexpected results
• Recommendations are based on algorithms and may not account for all individual factors
• AI-generated content should be evaluated critically and discussed with healthcare professionals
• We continuously improve our algorithms but cannot guarantee perfect accuracy
• The AI may refuse to answer certain medical questions outside our scope

Research Citations

While we provide research citations for our recommendations, you acknowledge that:

• Scientific understanding evolves, and current research may become outdated
• Individual responses may differ from research findings
• You should evaluate the quality and relevance of cited research
• Not all recommendations will have the same level of evidence

Third-Party Integrations

Laboratory Partners

We integrate with laboratory testing services (Quest, LabCorp, etc.) to facilitate biomarker testing. These partnerships are governed by separate agreements between you and the laboratory providers. We are not responsible for:

• Laboratory errors or delays
• Sample collection issues
• Insurance coverage or laboratory billing

Wearable Devices

Our Service may integrate with fitness trackers, smartwatches, and other wearable devices. We are not responsible for:

• Accuracy of third-party device data
• Device compatibility or connectivity issues
• Changes to third-party APIs or services

Supplement and Nutrition Partners

We may provide links to supplement retailers and nutrition services. Any purchases are between you and the third party. We may receive commissions but do not control:

• Product quality or availability
• Shipping or fulfillment
• Pricing or promotions

Privacy and Data Protection

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

• You can export or delete your data anytime

Service Availability and Modifications

Service Availability

We aim for 99.9% uptime but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (usually 2-4 AM ET with advance notice)
• Technical difficulties or infrastructure issues
• Force majeure events
• Security incidents requiring immediate action

Service Level Commitment

For paid subscribers:

• Planned maintenance: 24-hour advance notice
• Unplanned outages: Status updates within 2 hours
• Extended outages (>24 hours): Pro-rated service credits

Service Modifications

We reserve the right to:

• Add, modify, or remove features with reasonable notice
• Update algorithms and recommendation methodologies
• Change integration partners or data sources
• Adjust these Terms with 30 days' notice for material changes

We will not remove core features without providing alternatives or refunds.

Intellectual Property Rights

Our Content and Technology

The Service, including all software, algorithms, AI technology, text, graphics, and other materials, is owned by Synthesis and protected by intellectual property laws.

Your Limited License

We grant you a limited license to access and use the Service for personal use only. This license is:

• Non-exclusive (others can use the Service too)
• Non-transferable (you can't give it to someone else)
• Revocable (we can end it if you violate these Terms)
• Limited to personal, non-commercial use

Restrictions

You may not:

• Use our trademarks without written permission
• Copy or modify our software or content
• Create derivative works based on our Service
• Frame or mirror any part of our Service
• Use our Service to train competing AI models

Feedback and Suggestions

If you provide feedback or suggestions, you grant us the right to use them without compensation or attribution.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We specifically disclaim all warranties including:

• That the Service will be error-free, uninterrupted, or secure
• That biomarker analyses or AI recommendations will be accurate or complete
• That any health outcomes or improvements will result from using the Service
• Accuracy, completeness, or reliability of content, recommendations, or research citations

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTHESIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to:

• Health complications from following recommendations
• Lost profits or data
• Service interruptions
• Third-party actions or failures

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

These limitations apply even if we knew or should have known about the possibility of damages.

Indemnification

You agree to defend, indemnify, and hold harmless Synthesis and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the Service or violation of these Terms
• Your User Content or data
• Your violation of any third-party rights
• Any health decisions you make
• Your violation of applicable laws

We'll notify you of any claim and cooperate with your defense.

Dispute Resolution

Informal Resolution

Before pursuing formal dispute resolution, please contact us at legal@emergentlabs.dev. Most issues can be resolved informally within 30 days.

Binding Arbitration

PLEASE READ CAREFULLY: DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION, NOT COURT.

If informal resolution fails, disputes will be resolved through binding arbitration with the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Key Points:

• Arbitration will be conducted online or in Delaware
• Each party bears their own costs unless the arbitrator determines otherwise
• The arbitrator's decision is final and enforceable in court
• Limited discovery and appeal rights compared to court

Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS. All disputes must be brought individually, not as part of any class or collective proceeding.

Opt-Out Right

You may opt out of arbitration by emailing legal@emergentlabs.dev within 30 days of accepting these Terms. Include your name and account email. Opting out won't affect your use of the Service.

Exceptions

The following are not subject to arbitration:

• Small claims court matters (under $10,000)
• Injunctive relief for intellectual property violations
• Disputes that cannot be arbitrated under applicable law

General Provisions

Governing Law

These Terms are governed by Delaware law, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in Delaware courts.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Synthesis, superseding any prior agreements.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect. We'll replace the unenforceable provision with an enforceable one that best matches the original intent.

No Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later. Waivers must be in writing and signed by us.

Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate without restriction.

Force Majeure

We're not liable for delays or failures due to causes beyond our reasonable control, including:

• Natural disasters or acts of God
• War, terrorism, or civil unrest
• Internet or infrastructure failures
• Government actions or regulations
• Pandemics or public health emergencies

Survival

Provisions that should naturally survive termination will do so, including:

• Intellectual property rights
• Disclaimers and limitations of liability
• Indemnification obligations
• Dispute resolution procedures

Electronic Communications

You consent to receive electronic communications from us. These satisfy any legal requirements for written communications.

Interpretation

• Headings are for convenience only
• "Including" means "including but not limited to"
• "Days" means calendar days unless specified otherwise

Changes to Terms

We may update these Terms by:

• Posting the updated version with a new effective date
• Notifying you via email at least 30 days before material changes take effect
• Displaying a prominent notice in the Service

Your continued use after the effective date constitutes acceptance. If you disagree with changes, you may cancel your subscription.
